SECURITY AGREEMENT:
- ENGLISH: A security agreement, in the law of the United States, is a contract that governs the relationship between the parties to a kind of financial transaction known as a secured transaction. In a secured transaction, the Grantor (typically a borrower but possibly a guarantor or surety) assigns, grants and pledges to the grantee (typically the lender) a security interest in personal property which is referred to as the collateral. Examples of typical collateral are shares of stock, livestock, and vehicles. A security agreement is not used to transfer any interest in real property (land/real estate), only personal property. The document used by lenders to obtain a lien on real property is a mortgage or deed of trust.
The security agreement sets out the various rights the grantee will have with respect to the collateral, which are in addition to all other rights which the lender may have by law, such as those rights contained in Article 9 of the Uniform Commercial Code which has been adopted in some form by each state in the United States.
In order for a security interest to attach to the collateral in the possession of subsequent purchasers, it must be perfected. If the security agreement is for a purchase money security interest, perfection is automatic. Otherwise, the lender must record either the agreement itself, or a UCC-1 financing statement, in an appropriate public venue (usually the state secretary of state or a state business commission under that person's authority). Perfecting the interest creates constructive notice, which is deemed legally sufficient to inform the rest of the world of the lender's rights in the collateral.
In Canada, a General Security Agreement is defined as charge on all the assets of a business, including assets acquired after the agreement is made. Also called a GSA. Universal Movable Hypothec under the Civil Code of Quebec.
Under the Personal Property Security Act, a General Security Agreement gives a lender the right to security over a broad range of assets including vehicles, machinery, equipment, receivables and inventory, as well as after-acquired property. The lender normally registers a financing statement with the Personal Property Registry to establish the priority of its security over the assets with respect to other lenders. Reference
- FRENCH (FRANÇAIS) - NANTISSEMENT ou CONTRAT DE GARANTIE GÉNÉRALE: Le nantissement est une sûreté réelle. En droit français, le nantissement est défini depuis l'ordonnance du 23 mars 2006 comme un contrat par lequel un débiteur remet un bien incorporel à son créancier pour garantir sa dette. Le nantissement désignait auparavant des sûretés assez différentes.
Le gage se distingue du nantissement en ce qu'il frappe des meubles corporels quand le nantissement concerne des biens meubles incorporels. Gage et nantissement peuvent être avec ou sans dépossession. Cependant, en principe, le gage opère plutôt dépossession quand le nantissement ne l'opère pas (un système de publicité (inscription dans un registre) assure alors l'effectivité du droit du créancier nanti). L’article 2355 du Code Civil définit le nantissement comme l'« affectation en garantie d’une obligation, d’un bien meuble incorporel ».
Au Canada, le Contrat de garantie générale est une charge grevant l'ensemble des actifs d'une entreprise, y compris ceux acquis après la passation du contrat. Aussi connu sous le sigle CGG. Hypothèque mobilière universelle selon le Code civil du Québec.

Garantía: Usados como método para obtener seguridad jurídica, en sentido genérico, la garantía es una de las consecuencias de los contratos, en especial de los traslativos onerosos, en tanto que su existencia atribuye a las partes la facultad indubitada para adquirir, ocupar, exigir o mantener el derecho real o personal transmitido, esgrimible tanto frente a la persona que lo ha transmitido, como frente a terceros, que por ello deben cesar en las persecuciones al mismo objeto del contrato, de modo que, en su virtud, el sujeto pueda persistir en goce pacífico del beneficio, o del patrimonio, obtenido por medio del contrato.
De modo que, una cosa es la «garantía de los contratos» y otra son los «contratos de garantía». Estos últimos en sí contienen las dos virtudes, es decir, son garantía genérica de su contenido para los sujetos que los han suscrito y además contienen como parte de su objeto, el mérito de asegurar el cumplimiento de otro contrato u obligación distinta. Ejemplo de estos últimos son los contratos de aval, comfort letter, stand-by letter, fianza, prenda, hipoteca, anticresis, seguro, etc.
